Amused

Chapter 3: The Contract He Signed Without Reading

The marina had gone almost completely silent.

A few guests pretended to study their phones, but most were watching the confrontation.

Michael hated being watched when he wasn't in control.

He had built his reputation on confidence.

He knew how to dominate a boardroom, intimidate employees, and charm investors.

But he had never learned how to respond when the people around him stopped being afraid.

"Let's move somewhere private," he said.

Richard Bennett didn't move.

"We're perfectly comfortable here.""

Michael glanced toward the reception area.

"Do you have any idea what this looks like?""

Thomas Reed answered without expression.

"Yes. It looks like a shareholder discovering that company funds have been misappropriated.""

"Watch your language.""

"Then watch your transactions.""

Vanessa stepped away from Michael.

"Michael, what is he talking about?""

He turned to her.

"Nothing. It's a corporate dispute.""

"Why did he say I received six hundred thousand dollars?""

"Because you did consulting work.""

"What consulting work?""

Michael stared at her.

"Not here.""

Vanessa folded her arms.

"Don't speak to me like I'm one of your employees.""

Danielle watched the exchange.

Only an hour earlier, Vanessa had been smiling at her as though she had won something.

Now the woman was realizing that she might have been handed a liability instead of a prize.

Daniel Foster opened another folder.

"Michael, we need to establish the facts. On March 14, Carter Maritime transferred $82,000 to Reed Strategic Consulting.""

Michael nodded.

"Consulting fee.""

"On April 2, another $117,000.""

"Same.""

"On May 9, $146,000.""

"Different project.""

Daniel turned a page.

"Could you explain what work was performed?""

Michael's jaw tightened.

"Our company has dozens of projects.""

"Of course. Which one did Reed Strategic Consulting complete?""

"I'd need to check.""

"Who supervised the work?""

Michael said nothing.

Daniel continued.

"The invoices list three employees. Two have no employment records connected to the company. The third is a former employee who left before the invoice dates.""

Vanessa looked at Michael.

"You told me the invoices were prepared by accounting.""

Michael lowered his voice.

"Vanessa, stop talking.""

She took another step away.

"No. I want to know what's happening.""

Richard turned toward her.

"Ms. Reed, you may want independent legal representation.""

Her face drained of color.

"Are you accusing me of something?""

"We're investigating the payments made to your company.""

"I didn't steal anything.""

"Then you should have no difficulty explaining the services you provided.""

Vanessa looked at Michael.

He didn't answer.

Danielle remembered something Claire had said during the investigation.

Vanessa had signed several documents claiming to be an independent consultant.

She had also submitted invoices using a false business address.

But there was another detail.

A property purchased through one of the subsidiaries had been registered in Vanessa's name.

Michael had promised her the apartment as part of their future together.

Now that apartment was part of the investigation.

"Michael," Vanessa whispered, "you said the Miami property was yours.""

He rubbed his forehead.

"It is.""

"Then why is my name on the title?""

"Because we were planning to live there.""

"You said it was a gift.""

Danielle almost laughed.

Michael had used the same tricks with everyone.

He gave people promises that cost him nothing.

Then he blamed them when the promises became inconvenient.

Richard looked at Danielle.

"Mrs. Carter, would you like to explain your position?""

Michael immediately interrupted.

"She doesn't have a position. She's my wife.""

Danielle turned toward him.

"Not for much longer.""

His eyes narrowed.

"You don't get to make that decision alone.""

"I already have.""

"You're emotional. You're exhausted. You've just had a baby.""

Danielle felt the familiar old reflex rise inside her.

The urge to defend herself.

To explain that she was perfectly capable of understanding what was happening.

Then she looked at Olivia.

Her daughter had woken up and was staring at the world with wide, curious eyes.

Danielle smiled faintly.

She didn't need Michael's permission to understand her own life.

"Michael," she said, "you have spent five years telling me that I don't understand money. You told me that I was lucky you handled everything. You even told your accountant that I would sign whatever you placed in front of me.""

Michael's expression stiffened.

"Who told you that?""

"Your emails.""

He looked at Daniel Foster.

The attorney didn't blink.

Danielle continued.

"You also forged my signature on a document authorizing the transfer of voting rights from my father's trust.""

Michael shook his head.

"That's not what happened.""

"Then explain it.""

"I was handling a complicated transaction.""

"With my signature?""

"You approved it.""

"No, I didn't.""

"Danielle, you were pregnant. You knew I was managing the business.""

She stared at him.

"That doesn't mean you owned me.""

The sentence hung between them.

Richard opened another folder.

"There's one more issue.""

Michael's patience finally snapped.

"What now?""

Richard removed a copy of a contract.

"This is the debt conversion agreement signed on May 18.""

Michael nodded.

"I know what it is.""

"Then you should remember Section 12.""

Michael took the document.

His eyes moved down the page.

Section 12 was titled Change of Control and Material Misrepresentation.

Richard explained that Bennett Capital had agreed to convert a portion of Carter Maritime's outstanding debt into preferred equity.

The agreement had included several conditions.

Michael had personally certified that all major related-party transactions were properly disclosed.

He had also confirmed that no company assets had been diverted to undisclosed parties.

If those certifications were materially false, Bennett Capital could invoke its protective provisions.

"What does that mean?"" Michael asked.

Thomas Reed answered.

"It means the financing agreement can be suspended, the preferred shares can be exercised under the agreed terms, and the board can seek the removal of executives responsible for the misrepresentations.""

Michael stared at him.

"You're threatening to take my company?""

Richard's voice remained calm.

"No. I'm telling you that you signed a contract. Your company is already subject to its terms.""

Michael turned toward Danielle.

"You're behind this.""

Danielle shook her head.

"I didn't make you transfer money to your girlfriend.""

"You knew about the financing agreement.""

"I knew about my father's trust. I didn't know you were using my name to manipulate it.""

"You could have talked to me!""

She looked at him in disbelief.

"Would you have told me the truth?""

He had no answer.

Vanessa suddenly grabbed Michael's sleeve.

"Tell them about the apartment.""

He turned.

"What?""

"The Miami apartment. Tell them you bought it with your own money.""

Michael's expression darkened.

"Vanessa, this isn't the time.""

"You promised me it was mine.""

Richard looked toward Thomas.

Thomas nodded.

"We have that property on our list.""

Vanessa's voice rose.

"Then why did you tell me everything was clean?""

Michael grabbed her wrist.

"Keep your voice down.""

She pulled away.

"Don't touch me.""

The guests were no longer pretending not to watch.

Danielle could hear the soft murmur of conversations spreading across the reception area.

Michael looked at the crowd and lowered his voice.

"You're both making a terrible mistake.""

Richard closed his folder.

"The board has already been informed.""

Michael froze.

"When?""

"This morning.""

"You can't hold a board meeting without me.""

"We didn't need to. The emergency provisions in your financing agreement allow the board to meet when there is credible evidence of material financial misconduct.""

Michael's breathing became heavier.

"What did they decide?""

Richard glanced at Daniel.

"Your access to certain company accounts has been suspended pending an independent review. Your authority to approve transfers has been temporarily restricted.""

Michael stared at him.

"You can't do that.""

"We already have.""

His phone began vibrating.

Then again.

Then again.

He pulled it from his pocket.

Twenty-three missed calls.

The first was from his chief financial officer.

The next was from his operations director.

Then came a message from the company's head of communications.

Michael, please call me immediately. The board has issued a statement.

He opened it.

His face went white.

"Danielle," he said quietly.

She didn't answer.

He stepped closer.

"Tell them this is a misunderstanding.""

She looked at him.

"Why would I do that?""

"Because we're married.""

Danielle glanced at the wedding ring on the table.

"That didn't seem to matter to you twenty minutes ago.""

He lowered his voice further.

"Think about Olivia.""

"I am.""

"She needs her father.""

"Then you should have acted like one.""

Michael looked as though she had struck him.

For several seconds, he said nothing.

Then his expression shifted.

The anger disappeared.

Something more calculated replaced it.

"Danielle, listen. I made mistakes. I know that. But we can fix this.""

She remained silent.

"Vanessa and I are finished. I'll come home tonight. We'll talk. I'll take some time off.""

Vanessa stared at him.

"Excuse me?""

Michael ignored her.

"I'll help with Olivia. I'll do whatever you want.""

Danielle looked at him.

"Whatever I want?""

"Yes.""

"Would you tell the truth?""

"Of course.""

"About Vanessa?""

He hesitated.

"Yes.""

"About the money?""

Another hesitation.

"Yes.""

"About the forged signature?""

His expression changed.

"Danielle, we don't need to discuss every detail in public.""

She gave a small, tired laugh.

There it was.

Even now, he wanted her to help him hide the truth.

Daniel Foster stepped forward.

"Michael, I recommend that you direct all further communication through counsel.""

Michael glared at him.

"Stay out of my marriage.""

Daniel glanced at the stroller.

"Your marriage is not the only matter under discussion.""

At that moment, Danielle's phone vibrated.

A message from Claire appeared.

The independent audit team has completed the preliminary review. There is something else you need to know. Call me when you can.

Danielle frowned.

She stepped slightly away from the group.

"Claire?""

"Danielle, where are you?""

"At the marina. What's wrong?""

"I've been reviewing the original financing documents. The May agreement wasn't the only document Michael signed.""

Danielle looked toward her husband.

"What do you mean?""

"Remember the transfer authorization we found?""

"Yes.""

"It was submitted through a holding company called Northbridge Logistics.""

Danielle's stomach tightened.

"Okay.""

"That company is connected to an old investment account established by your father.""

Danielle stopped breathing for a moment.

"How?""

Claire lowered her voice.

"Your father created a private investment vehicle before he died. The company was dormant for years. Michael appears to have used it as an intermediary in one of his transactions.""

"Does he own it?""

"No. That's the strange part.""

"Who does?""

Claire paused.

Then she said something Danielle hadn't expected.

"Your daughter.""

Danielle stared at the marina.

"What?""

"Olivia is the named beneficiary of a separate trust your father established shortly before his death. The account was never activated because she didn't exist yet.""

Danielle's fingers tightened around her phone.

"My father died before I was pregnant.""

"I know. But the trust contains a provision for your future children.""

Danielle looked down at Olivia.

The baby was awake now, her tiny hand resting against the cream blanket.

Claire continued.

"There's a letter attached to the original trust documents. Your father left specific instructions. The trustees were supposed to release the documents only if someone attempted to misuse the family assets.""

Danielle felt a chill move through her.

"Has Michael seen the letter?""

"I don't think so.""

"What does it say?""

Claire hesitated.

"Danielle, I think you need to sit down.""

"Just tell me.""

Claire took a breath.

"Your father anticipated that someone might marry into the family for access to the trust. He left instructions about what should happen if that person attempted to obtain control through fraud.""

Danielle slowly turned toward Richard Bennett.

He was watching her.

As though he already knew what Claire was about to say.

"Claire, what instructions?""

Her friend answered.

"Your father named you as the protector of the trust. But if your rights were compromised, Olivia's independent trustees could activate a clause that transfers control of the disputed assets away from the person responsible.""

Danielle looked at Michael.

He was arguing with Thomas Reed, gesturing angrily at the contract.

Then she noticed the last page of the document in Richard's hand.

A signature.

Michael Carter.

And beneath it, a clause he had apparently never bothered to read.

*Any person who knowingly attempts to obtain control of the protected family trust through fraudulent authorization shall forfeit all claims to future distributions, management rights, and associated voting privileges.*

Michael had signed it himself.

He had signed the very document that could permanently remove him from the financial future he had spent years trying to steal.

Danielle slowly lowered her phone.

"Claire," she whispered, "does that mean what I think it means?""

"Yes.""

A moment later, Richard approached.

"Mrs. Carter, there's something else.""

Danielle looked up.

Richard glanced at Olivia.

"Your father left a letter for his granddaughter. It was scheduled to be delivered when she was born.""

Danielle's eyes filled with tears.

"Why didn't anyone tell me?""

"Because the trustees wanted to verify the circumstances surrounding the attempted transfer first.""

Richard handed her a small cream envelope.

Her father's handwriting was visible across the front.

*For my granddaughter, Olivia. To be opened when her mother finally needs to know the truth.*

Danielle held it against her chest.

Behind her, Michael was still demanding explanations.

But she barely heard him.

She carefully opened the envelope.

And the first sentence made her knees weaken.

My darling Danielle, if you are reading this, then the man you trusted has finally shown you who he really is.

May you like

And there is something about your marriage that I need you to know.

Michael Carter did not meet you by accident.
